Skitzly Creator Agreement

This Creator Agreement (“Agreement”) is made between Skitzly, LLC (“Skitzly,” “we,” “our,” or “us”) and the individual or entity registering as a Creator (“you,” “your,” or “Creator”) to publish, upload, stream, or monetize content on the Skitzly Platform (“Platform”).

By signing up or uploading content to Skitzly, you agree to the following terms and conditions.

1. Eligibility and Account

  • You must be at least 18 years old to participate as a Creator.
  • You must provide accurate information when creating your account.
  • You are responsible for maintaining your account security and all activity under it.
  • You must comply with all applicable laws and Skitzly’s Terms of Service and Community Guidelines.

2. Content Ownership and License

  • You retain full ownership of all content you create and upload to Skitzly.
  • By uploading content, you grant Skitzly a non-exclusive, worldwide, royalty-free license to host, stream, promote, and distribute your content through the Platform.
  • This license exists solely to operate and promote the Platform and does not transfer ownership rights.
  • You confirm that all content you upload:
    • Is owned by you or properly licensed for distribution.
    • Does not infringe upon any third-party intellectual property, privacy, or publicity rights.
    • Complies with Skitzly’s Community Guidelines and all applicable laws.

Skitzly reserves the right to remove or restrict content that violates these terms.

3. Monetization and Revenue Split

Creators can earn revenue through:

  • Subscriptions
  • Pay-Per-View (PPV) content
  • Live streaming events
  • Tips and donations

Revenue Split:

  • You receive 85% of net revenue generated from your content.
  • Skitzly retains a 15% platform fee to cover operational, hosting, and payment processing costs.
  • Founding or promotional creators may receive a 90/10 split for the first six months of participation.

Net Revenue means total revenue received from subscribers or viewers after transaction fees, taxes, refunds, and chargebacks.

4. Payments and Payouts

  • Payouts are processed through Stripe, PayPal, or other approved payment processors.
  • Creators must provide valid tax documentation (W-9 for U.S. creators or W-8BEN for international creators).
  • Minimum payout threshold: $20 (subject to change).
  • Payouts are typically processed within 3–5 business days after request approval.
  • Skitzly is not responsible for delays caused by third-party processors.

You are responsible for any transaction fees charged by your payment provider.

5. Taxes

  • Skitzly may collect and remit applicable taxes where required by law.
  • You are responsible for reporting and paying all taxes due from your earnings.
  • U.S. creators will receive a Form 1099-NEC annually if earnings exceed IRS thresholds.
  • Non-U.S. creators are responsible for their local tax obligations.

6. Live Streaming and PPV Events

Creators may host live streams for subscribers or charge a Pay-Per-View (PPV) fee for special events.

  • Creators must comply with all event and duration limits set by Skitzly.
  • You may not stream copyrighted material without authorization.
  • Skitzly reserves the right to terminate live streams that violate platform policies or law.
  • PPV and tips are subject to the same revenue split outlined in Section 3.

7. Prohibited Conduct

Creators agree not to:

  • Upload or stream illegal, violent, hateful, or sexually exploitative content.
  • Engage in harassment, discrimination, or defamation.
  • Impersonate others or misrepresent affiliations.
  • Attempt to hack, disrupt, or misuse the Platform.
  • Encourage unlawful behavior or activities.
  • Post content containing unlicensed music, video, or trademarks.

Violations may result in content removal, account termination, and legal action.

8. Intellectual Property Rights

  • Skitzly retains ownership of its brand name, logo, design, code, and other intellectual property.
  • You may not use Skitzly branding or trademarks without written permission.
  • Skitzly may use creator names, images, or clips for promotional purposes with reasonable notice.

9. Termination

Either party may terminate this Agreement with or without cause.

Upon termination:

  • You may delete your content or request removal.
  • Any pending payouts will be processed subject to review.
  • Skitzly may retain archived content for compliance or dispute purposes.

10. Confidentiality

Creators may have access to confidential information about the Platform.
 You agree not to share, distribute, or use such information outside of Skitzly without written consent.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Skitzly shall not be liable for indirect, incidental, or consequential damages.
  • Skitzly’s total liability in any claim shall not exceed the amount paid to you in the last 6 months.

12. Indemnification

You agree to indemnify and hold Skitzly harmless from any claims, damages, or expenses arising from:

  • Your content,
  • Your use of the Platform, or
  • Violation of this Agreement or any law.

13. Dispute Resolution

  • This Agreement is governed by the laws of [Your State, Country].
  • Any disputes shall be resolved through binding arbitration or in the appropriate courts located in [Jurisdiction].
  • Both parties waive the right to class-action proceedings.

14. Amendments

Skitzly may update this Agreement from time to time.
 Significant changes will be communicated via email or platform notice.
 Continued use of the Platform after changes means you accept the updated Agreement.

Acceptance
